Terms of Service

Please read these Terms of Service (“Terms”, “Terms of Service”) carefully before using the EstimMate.ai Service.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree to any part of the terms, you may not access the Service.

1. Definitions and Interpretation

Unless the context requires otherwise, the following terms shall have the meanings set forth below:

Company (“We”, “Us” or “Our”) means EstimMate Limited.

Client (“You”) means the individual accessing or using the Service, or the company or other legal entity on behalf of which such individual is accessing or using the Service, as the case may be.

The EstimMate.ai Service means an online resource created to address the core challenge of estimating project timelines and costs, namely the significant time spent on this process. The use of artificial intelligence to generate a Work Breakdown Structure (WBS), form a team, and determine rates by roles not only speeds up the estimation process but also simplifies the interface compared to spreadsheets, which no longer meet modern needs.

Account means a profile created by a User or an authorized person within the Service, which enables one or more authorized Participants to access the functionality of the Service or parts thereof.

Client Subscription means the right to access and use the EstimMate.ai Service as specified in one or more order screens agreed between the parties via the website estimmate.ai, which refer to this Agreement and describe the business terms related to the Client’s subscription. All subscriptions shall be provided for the period specified in the relevant Order (the “Subscription Period”). Access to and use of the Service is permitted only for individuals authorized by the Client and solely for the Client’s internal business purposes, and not for the benefit of any third party.

2. Accounts and Eligibility

  • Age Requirements: You must be at least 16 years old to use the Service. If you are under 18, you represent that you have obtained parental or guardian consent to use the Service.
  • Security: You are responsible for maintaining the confidentiality of your authentication code or credentials used to access the Service. You agree not to disclose your login information to any third party.
  • One Account per User: You may not create multiple accounts to impersonate or act as a single user, or to circumvent usage limitations. Any violation of this rule may result in the immediate suspension of your account.

3. Services and Disclaimer

The EstimMate.ai Service uses artificial intelligence technologies (including Open AI) to generate project estimates and breakdowns.

  • Accuracy Notice: Estimates generated by artificial intelligence are probabilistic predictions and are not guaranteed. They are intended as an aid for professionals. You are solely responsible for reviewing, verifying, and adjusting all outputs before using them in commercial proposals.
  • No Liability: We shall not be liable for any business losses, underestimations, or contractual disputes arising from the use of AI-generated content.
  • Content Policy: You may not use artificial intelligence features to create illegal, harmful, sexually explicit, or malicious content.

4. Acceptable Use Policy

To ensure the stability and availability of the Service for all users, you agree NOT to:

  • Abuse/misuse: send automated, excessive, or unreasonable requests to our servers (for example, using scripts or bots to collect data).
  • Reverse Engineering: attempt to decompile, disassemble, or reverse engineer any part of the Service.
  • Account Sharing: share a single paid subscription seat among multiple individuals (unless it is part of a specific team plan).

Fair Use: We reserve the right to limit or suspend access for users whose usage patterns significantly exceed the typical use of standard clients (for example, generating thousands of estimates per day) in a manner that negatively affects Service performance or costs.

5. Intellectual Property

  • Our Intellectual Property: The Service, its original content (excluding your input data), features, and functionality are and will remain the exclusive property of the Company.
  • Your Intellectual Property: You retain all rights to the documents you upload and to the specific project estimates created for you. We do not claim ownership of your project data.

6. Subscriptions and Payments

  • Billing: Paid services are billed in advance on a recurring and periodic basis (for example, monthly).
  • Cancellation: You may cancel your subscription at any time through your account settings. Access will continue until the end of the current billing period.
  • Refunds: Payments are non-refundable except as required by applicable consumer protection laws. We do not provide refunds for partially used billing periods.
  • Price Changes: We may change the subscription fees. Any price change will become effective at the end of the current billing cycle. We will provide you with notice in advance.

7. Third-Party Links and Services

Our Service may contain links to third-party websites or services (for example, Stripe) that are not owned or controlled by the Company. We assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.

8. Termination

We may immediately terminate or suspend your account without prior notice or liability for any reason, including without limitation if you violate the Terms (for example, the Acceptable Use Policies, failure to make a payment).

9. Limitation of Liability

Under no circumstances shall the Company be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including, without limitation, damages for loss of profits, reputation, use, data, or other intangible damages, arising out of or in connection with the use of or inability to use the Service.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes shall be resolved in the competent courts of England and Wales.

11. Changes

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material, We will make reasonable efforts to provide at least 30 days’ notice prior to any new terms taking effect.
